Section 1Definitions

In this Agreement, the following terms have the meanings set out below:

1.1.“Platform” or “Website” — the hardware and software system available at https://atameken.club and its subdomains, including the mobile version, together with related services. 1.2.“Operator” — ATAMEKEN Club LLP (Limited Liability Partnership “ATAMEKEN Club”), BIN: 250640013182, registered in the Republic of Kazakhstan. Where the Operator has appointed representatives in other countries, they are listed, with the channels for contacting them, on a dedicated page of the Website. 1.3.“User” — an individual or legal entity that uses the Platform by way of registration or any other functionality made available to it, and that acts for purposes relating to its business, trade or profession (Section 3). 1.4.“Account” — a unique record of the User within the Platform’s system, protected by a password. 1.5.“Registry” — the publicly accessible catalogue of User publications located at: https://atameken.club/projects.html 1.6.“Publication” or “Card” — a structured User listing in the Registry of one of four types: investment project, franchise, operating business, or goods and raw materials. 1.7.“Verification” — the procedure of independent checking of a User’s information or activities, carried out by the Operator or by accredited Partners in accordance with agreed methodologies. 1.8.“Chevron” — a graphical indicator on a Registry Card reflecting the scope of the Verifications completed by the User. 1.10.“Transaction Support” — a comprehensive legal and negotiation support service for a transaction between Users, provided by the Platform for a fixed commission. 1.11.“NDA” — Non-Disclosure Agreement, executed as part of the Transaction Support document package. 1.12.“NCNDA” — Non-Circumvention, Non-Disclosure Agreement, executed as part of the Transaction Support document package. 1.13.“Partners” — legal entities accredited by the Operator to provide verification, audit, translation, marketing and other professional services. 1.15.“Tariffs” — the current schedule of prices for the services of the Platform and its Partners, published on the Website, including in the “Services” section. The Tariffs may state the price of a service, its minimum amount, or that the price is determined on request; the absence of a price does not mean that the service is provided free of charge. Publication of the Tariffs does not constitute a public offer: the final cost is determined by the invoice of the Operator or of a Partner (Section 6), and the version of the Tariffs in force on the date the invoice is issued applies to the service ordered. 1.16.“Content” — any materials (texts, images, documents, video, audio, links) posted by the User on the Platform. 1.17.“Confidential Information” — information expressly designated by a party as confidential, or which is evidently confidential by its nature. 1.18.“Sanctions Lists” — the restrictive-measures lists maintained by the United Nations Security Council, by the European Union, by the Office of Foreign Assets Control of the United States Department of the Treasury, and any other such lists applicable to a Party or to a payment made under this Agreement.

2.1.This Agreement takes effect upon its acceptance by the User at registration (ticking the check-box giving consent) and remains in force until terminated in the manner provided for in this Agreement. 2.2.Registration on the Platform and/or use of any of its functionality constitutes unconditional acceptance of this Agreement in full, without any reservation. 2.3.If the User does not agree with any provision of this Agreement, the User must cease using the Platform and delete their Account. 2.4.This Agreement, together with the Tariffs, the NDA, the NCNDA, the Transaction Support Agreements and the other documents posted on the Website, including the Privacy Policy where published, forms a single agreement between the Parties.

Section 3Eligibility, Registration and Account

3.1.Business purpose. The Platform is intended solely for persons acting for purposes relating to their business, trade or profession. By accepting this Agreement at registration and by continuing to use the Platform, the User represents and warrants that it uses the Platform for such purposes and not as a consumer. 3.2.Registration is available to:
  • individuals who have reached the age of 18, have full legal capacity and act for the purposes set out in clause 3.1;
  • legal entities acting through an authorised representative.
3.3.Sanctions representation. By accepting this Agreement at registration and by continuing to use the Platform, including on each occasion on which a payment is made, the User represents and warrants that it is not included in any Sanctions List, is not owned or controlled by a person included in any Sanctions List, and does not act in the interest or for the benefit of such a person. The User must notify the Operator without delay if this representation ceases to be correct. A breach of this clause entitles the Operator to block the Account and to suspend or reverse the relevant payment. 3.4.Compliance with local law is the User’s own responsibility. The Platform is operated from the Republic of Kazakhstan and is made available internationally. The User is solely responsible for determining whether its use of the Platform is lawful in the country from which it accesses the Platform, and for complying with the law of that country. The Operator makes no representation that the Platform, or any part of its functionality, is appropriate or available for use in any particular country. 3.5.The Operator has the right to refuse registration, or to restrict access to the Platform or to particular functionality, in respect of any User, at its discretion, including where this is required in order to comply with applicable law or with the requirements of the banks and payment providers through which the Operator receives payment. 3.6.Upon registration, the User undertakes to provide truthful, accurate and up-to-date information. The provision of false information constitutes grounds for blocking the Account without return of any amounts paid. 3.7.One User — one Account. The registration of multiple Accounts by a single person is prohibited, save in cases expressly permitted by the Operator (for example, a separate Account for a legal entity and for its owner as an individual). 3.8.The password is the Confidential Information of the User. The disclosure of login credentials to third parties, including employees of the Operator, is prohibited. The User who holds the Account bears responsibility for all actions performed under it. 3.9.The User must notify the Operator without delay of any instances of unauthorised access to the Account, by email to [email protected]. 3.10.The Operator has the right to refuse registration temporarily (or permanently), or to block or delete an Account, where there are grounds to believe that the User has breached the terms of this Agreement or applicable law. 3.11.By accepting this Agreement at registration and by continuing to use the Platform, a legal entity confirms that its authorised representative holds all powers and approvals necessary to enter into this Agreement.

Section 4Verification and Chevrons

4.1.The Platform offers several levels and categories of Verification, provided by the Operator or by accredited Partners in accordance with agreed methodologies. 4.2.The levels and cost of Verifications are set out in the Tariffs, or are requested by the User from the Operator on an individual basis. 4.3.Following each Verification, the Card is assigned a Chevron indicating the scope, date and source of the check. 4.4.The completion of a Verification is not a guarantee of:
  • the User’s good faith;
  • the User’s financial soundness;
  • the User’s performance of its obligations towards third parties;
  • the quality of the goods or services offered.
4.5.A Chevron reflects only the scope of the checks as at the time of its assignment and may become out of date over time. The validity period of each Chevron is stated in its description. 4.6.The User must notify the Operator without delay of any changes that materially affect previously assigned Chevrons (bankruptcy, change of beneficial owner, loss of a licence). Concealment of such changes constitutes grounds for cancellation of the Verification without return of its cost. 4.7.The Operator and Partners act reasonably and in good faith but do not guarantee the detection of all possible risks associated with a User.

  • it holds all rights in the Content posted;
  • the posting does not infringe the rights of third parties (intellectual property, image rights, trade secrets, and others);
  • the Content contains no viruses, malicious code or spam;
  • the Content does not breach applicable law.
7.5.The Operator reserves the right, but is under no obligation, to moderate Content. Content that breaches this Agreement or the law may be removed without prior notice. 7.6.The User bears full responsibility for the accuracy of the information it posts. 7.7.Moderation upon complaint. A complaint is in itself a sufficient ground for the Operator to begin moderation of the Content complained of. Complaints are sent to [email protected]. The Operator acknowledges receipt of a complaint within 5 business days and informs the complainant of the outcome within 10 business days. Pending the outcome, the Operator has the right to restrict access to the Content complained of. The User whose Content has been restricted or removed is notified and may object in the manner set out in clause 16.4.

  • the non-performance or improper performance of obligations by Users;
